1. Scope
These Beta Terms of Use (the “Terms”) govern your participation in the private beta of the Devctrl platform (console, API, gateway, SDKs, and associated documentation — collectively, the “Platform”), operated by the entity named in the Imprint (“we”, “us”). By joining the waitlist, creating an account, or using the Platform, you agree to these Terms.
2. Eligibility
- You are at least 18 years of age.
- You use the Platform strictly in a business context (B2B). The Platform is not directed at consumers within the meaning of § 13 BGB (German Civil Code).
- If you register on behalf of a company, you warrant that you are authorised to represent that company.
- We may refuse or revoke access to the beta at our discretion.
3. Nature of the beta
The Platform is in a private beta. This means:
- Features may change, be restricted, or be removed at any time without prior notice.
- There is no committed availability, no service-level agreement, and no guarantee of data preservation.
- The Platform may contain bugs, instabilities, and security vulnerabilities. Complete protection of data cannot be guaranteed.
- During the beta the Platform is provided free of charge. We may introduce paid plans when the beta ends and will notify you in advance.
4. No production data (important restriction)
The beta Platform may be used exclusively with test and synthetic data. In particular, you must not upload, store, or process:
- Real production data from your company's or customers' systems
- Personal data of third parties (customers, employees, users) for which you do not have an explicit legal basis to transfer to us
- Special categories of personal data under Art. 9 GDPR (e.g. health data, biometric data, political or religious beliefs)
- Data subject to professional confidentiality (e.g. patient data, attorney-client privilege)
- Financial, payment, or authentication data of customers
- Data subject to special regulatory regimes (e.g. PCI DSS, HIPAA, KRITIS, NIS2-relevant data)
The Platform is explicitly not approved for regulated or production data processing during the beta. In case of violation, we may suspend or terminate your account without notice; civil and criminal consequences are at your sole risk.
5. Acceptable use
You agree:
- to use the Platform only in compliance with applicable law;
- not to submit unlawful, harmful, defamatory, discriminatory, or rights-infringing content;
- not to perform security or load testing without our prior written consent;
- not to take actions that impair the availability or integrity of the Platform (e.g. large-scale scraping, circumventing rate limits, reverse engineering);
- to keep credentials confidential and not to share them with third parties;
- to notify us immediately if you become aware of security vulnerabilities or unauthorised access.
6. Content and feedback rights
Your content
You retain all rights in the data and content you submit to the Platform (“Customer Content”). You grant us a non-exclusive, worldwide, royalty-free licence to process such content solely for the purpose of operating and providing the Platform.
Feedback
If you provide feedback, suggestions, or improvement ideas, you grant us a perpetual, irrevocable, royalty-free, worldwide, transferable licence to use that feedback without restriction to improve our products, with no obligation of compensation or attribution.
Our rights
All rights in the Platform — including software, documentation, design, trademarks, and logos — remain with us or our licensors.
7. Confidentiality
The Platform and non-public information you receive in the beta (roadmap, internal benchmarks, pricing, unreleased features) are confidential. You may not disclose such information to third parties without our prior written consent. This confidentiality obligation continues for two (2) years after the end of your participation in the beta.
8. Warranty and liability disclaimer
The Platform is provided “as is” and “as available”. To the extent permitted by law, we exclude all express or implied warranties, including fitness for a particular purpose, merchantability, accuracy, security, and non-infringement.
We are liable without limitation for damages caused by wilful intent or gross negligence, for injury to life, body, or health, and under the mandatory provisions of the German Product Liability Act. Otherwise, our liability is limited to typically foreseeable damages arising from the breach of material contractual duties (Kardinalpflichten).
For slight negligence outside the above cases, and for lost profits, lost data, business interruption, and indirect consequential damages, we are not liable during the free-of-charge beta.

10. Term and termination
Beta participation starts when your account is activated and runs for an indefinite period. Either party may end participation at any time, without giving reasons, by notice in text form or by email. We may in particular suspend your access if you breach these Terms, especially the no-production-data restriction in Section 4.
After termination, your Customer Content will be deleted within a reasonable period unless statutory retention duties apply.
11. Changes to these Terms
We may update these Terms when technical, legal, or business conditions change. We will inform you of changes in good time by email or via the Platform. If you do not object within four (4) weeks and continue to use the Platform, the updated Terms are deemed accepted.
12. Final provisions
Governing law and jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for all disputes arising out of these Terms is — to the extent legally permissible — Hamburg, Germany.
Severability
If any provision of these Terms is or becomes invalid or unenforceable, the validity of the remaining provisions is not affected. The invalid provision shall be replaced by a provision that comes closest to its economic purpose.
